1. Acceptance of Terms

By creating an account or using LHBOT ("Service", "Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

These Terms apply to all users, including free and paid subscribers.

2. Description of Service

LHBOT provides a platform that allows businesses to connect a WhatsApp number to an AI-powered chatbot. The Service includes:

• WhatsApp bot connection and management
• AI-powered automated responses (powered by Google Gemini) with 12 industry roles
• Conversation inbox, history, and multi-agent shared inbox
• Website knowledge base (URL scraping for bot training)
• XML product feed import (Google Shopping, WooCommerce, Shopify catalogs)
• Q&A knowledge base with structured question-answer cards
• Bot Playground for real-time testing
• Auto follow-up messaging for quiet conversations
• Outbound API for sending messages from external systems
• Smart Bot Mode (respond to everyone, new contacts only, or trigger words)
• Performance analytics (14-day charts, peak hours, language split, response rate)
• Integration with third-party tools via webhooks (Make, Zapier, N8N)
• Calendar scheduling (Calendly, Google Calendar)
• Media support (images, voice messages, videos, documents)
• PWA (installable mobile app)
• Multilingual support (Hebrew, English, Arabic auto-detection)

3. Eligibility

• You must be at least 18 years old to use LHBOT
• You must be a business or acting on behalf of a business
• You must provide accurate registration information
• One account per person or business entity

4. WhatsApp — Unofficial Connection & Risk Disclosure

4.1 Nature of the Connection

LHBOT operates by connecting to WhatsApp through an unofficial, third-party automation method (not the official WhatsApp Business API). This approach uses linked device technology similar to WhatsApp Web. Meta Platforms, Inc. (WhatsApp's owner) does not authorize, support, or endorse this type of automation. LHBOT is not affiliated with, endorsed by, or officially connected to WhatsApp Inc. or Meta Platforms, Inc. By using LHBOT, you explicitly acknowledge and accept that:

• The connection method used by LHBOT is not officially approved by WhatsApp/Meta
• WhatsApp may, at any time and at their sole discretion, block or ban your phone number
• A ban may be temporary (hours/days) or permanent and irrecoverable
• LHBOT has no ability to prevent, appeal, or reverse a ban imposed by WhatsApp/Meta
• LHBOT is not affiliated with, endorsed by, sponsored by, or officially connected to WhatsApp Inc. or Meta Platforms, Inc.
• You assume full and sole responsibility for all consequences of using this unofficial connection method

4.2 Spam & Unsolicited Messages — Strictly Prohibited

You agree not to use LHBOT to:

• Send unsolicited bulk messages or mass marketing campaigns (spam)
• Initiate contact with people who have not first messaged you
• Collect or harvest WhatsApp numbers without explicit consent
• Impersonate other businesses or individuals
• Violate WhatsApp's Terms of Service or Business Policy
• Engage in any illegal, deceptive, or harmful activity

4.3 Full User Responsibility

You assume full and sole responsibility for all risks associated with connecting your WhatsApp number to LHBOT. LHBOT, its owners, and its operators shall bear no liability whatsoever for:

• Temporary or permanent banning or restriction of your WhatsApp number by Meta/WhatsApp
• Loss of access to your WhatsApp account or phone number
• Any business loss, reputation damage, or damages arising from account suspension
• Any violation of WhatsApp's Terms of Service resulting from your use of the platform

We strongly recommend using a dedicated business phone number for LHBOT — not your personal number — to minimize personal risk.

4.4 WhatsApp Compliance

You are solely responsible for ensuring your use of LHBOT complies with WhatsApp's Terms of Service and Business Policy. WhatsApp may ban phone numbers that violate their policies. LHBOT is not responsible for any bans or restrictions imposed by WhatsApp/Meta.

4.5 Service Continuity

In the event that your WhatsApp number is restricted or banned by WhatsApp/Meta:

• Your LHBOT account, bot configuration, knowledge base, analytics, and all stored data remain fully intact and accessible
• You may connect a new WhatsApp number to your existing bot at any time from your dashboard
• No data is lost due to a WhatsApp disconnection or ban
• LHBOT support will assist you in reconnecting within 24 business hours upon request
• A WhatsApp ban does not entitle you to a refund, as the Service includes AI, dashboard, knowledge base, analytics, and API access beyond WhatsApp connectivity alone

We continuously evaluate additional connection methods to enhance service stability.

5. Subscription Plans and Payments

Plans

• Free (Trial): 30 AI messages, one-time trial — no monthly reset
• Starter — $39/month: 500 messages/month, Gemini Flash model
• Growth — $79/month: 2,000 messages/month, Gemini Pro model
• Agency — $149/month: 10,000 messages/month, 5 bots included (+$25/additional bot)

Billing

• Subscriptions are billed monthly in advance
• Payments are processed by PayProGlobal. By subscribing, you agree to their payment terms.
• All prices are in USD and do not include applicable taxes, which may be added at checkout
• Message limits reset on the first of each calendar month
• Unused messages do not roll over

Cancellation and Refunds

• You may cancel your subscription at any time from your account settings or by emailing [email protected]
• Cancellation takes effect at the end of the current billing period; you retain access until then
• Since a free trial is provided to evaluate the Service, paid subscriptions are non-refundable
• Refunds may be considered in exceptional circumstances (billing errors, extended outages) at our sole discretion
• No partial-month or pro-rated refunds are issued
• The free trial has no monetary value and is not eligible for any refund or compensation

6. Acceptable Use

You agree not to:

• Attempt to reverse-engineer, decompile, or hack the platform
• Use the service to build a competing product
• Share your account credentials with third parties
• Circumvent plan limits through technical means
• Use the service for illegal, harmful, or fraudulent purposes
• Transmit malware or any code that could damage the platform

6.0.1 Prohibited Content

You may not use LHBOT to create, distribute, or facilitate any of the following content through your bot:

• Hate speech: Content promoting violence, discrimination, or hatred against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics
• Harassment: Threats, bullying, intimidation, or content intended to harass or harm individuals
• Illegal substances: Promotion or sale of illegal drugs, controlled substances, or drug paraphernalia
• Weapons: Sale or promotion of firearms, explosives, or other weapons in violation of applicable law
• Gambling: Unlicensed gambling services or promotion of illegal gambling activities
• Adult content: Sexually explicit material, pornography, or sexual services
• Fraud: Phishing, scams, deceptive schemes, or content designed to defraud
• Illegal activity: Any content that violates applicable local, national, or international law

6.0.2 Rate Limits

To ensure platform stability and fair usage, LHBOT enforces rate limits on messaging. Excessive messaging volume that impacts platform performance may result in temporary throttling. Specific rate limits may vary by plan and are subject to change.

6.0.3 Enforcement & Consequences

Violations of the Acceptable Use Policy will be handled through a graduated enforcement process:

• First violation — Warning: You will receive an email notification describing the violation and requesting corrective action.
• Second violation — Suspension: Your account and bot will be temporarily suspended. You will be notified and given an opportunity to resolve the issue.
• Third violation or severe breach — Termination: Your account will be permanently terminated without refund. Severe breaches (e.g., illegal activity, spam campaigns) may result in immediate termination without prior warning.

We reserve the right to skip steps in the enforcement process for severe violations that pose immediate risk to our platform, other users, or third parties.

6.1 Outbound API & Messaging

LHBOT provides an Outbound API that allows you to send WhatsApp messages from external systems (CRM, Make, Zapier) using your API key. You agree that:

• You are solely responsible for all messages sent via the API
• API-sent messages count toward your monthly message limit
• You will not use the API to send unsolicited bulk messages or spam
• You will not share your API key with unauthorized parties; treat it like a password
• We may revoke API access if we detect abuse or excessive volume that impacts platform stability

6.2 Auto Follow-Up Messaging

LHBOT offers automatic follow-up messages for conversations that go quiet. This feature is subject to the following policy:

• A maximum of one follow-up message is sent per contact per quiet conversation
• Follow-up timing ranges from 4 to 72 hours, as configured by you
• Follow-ups are only sent to contacts who have already initiated a conversation with you
• You must not use follow-ups as a mechanism for unsolicited marketing or spam
• Abuse of the follow-up feature may result in account suspension

6.3 Product Feed & Website Knowledge Base

LHBOT allows you to import product catalogs via XML feeds and scrape website content for bot training. You acknowledge and agree that:

• You are solely responsible for ensuring you have the legal right to use, import, and display all product data and website content
• You must own or have permission to scrape and reproduce the website content you provide
• LHBOT does not verify the accuracy, legality, or ownership of imported product data or scraped content
• Product pricing, availability, and descriptions shown by the bot are based on your feed — you are responsible for keeping them up to date
• We may remove or disable access to content that we believe infringes on third-party rights

6.4 Multi-Agent Usage

LHBOT allows multiple agents to share a single WhatsApp inbox. The following terms apply:

• The account owner is responsible for all actions taken by invited agents
• Agents can view all conversations and send messages on behalf of the business
• The account owner may add or remove agents at any time
• Agent messages are attributed to the agent's name but sent from the connected WhatsApp number
• All agent activity counts toward the account's monthly message limit

7. AI-Generated Content

LHBOT uses Google Gemini to generate responses. You acknowledge that:

• AI responses may occasionally be inaccurate, incomplete, or inappropriate
• You are responsible for reviewing and configuring the bot's instructions to fit your business
• LHBOT is not liable for any business decisions made based on AI-generated responses
• Your customers' messages are sent to Google's Gemini API for processing

8. Intellectual Property

• LHBOT and its original content, features, and design are owned by us and protected by copyright
• You retain ownership of all content you create (bot instructions, FAQ, business data)
• Your customers retain ownership of their messages
• By using the service, you grant us a limited license to process your data to provide the service

9. Data and Privacy

Your use of LHBOT is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Service Availability

• We aim for high availability but do not guarantee 100% uptime
• We may perform maintenance that temporarily interrupts the service (we aim to do this at low-traffic times)
• WhatsApp connectivity depends on WhatsApp's infrastructure, which is outside our control

11. Termination

We may suspend or terminate your account immediately if you:

• Violate these Terms of Service
• Use the platform for spam or illegal purposes
• Fail to pay for a paid subscription
• Engage in activity that harms other users or the platform

You may delete your account at any time. Upon deletion, all your data including bot history is permanently removed within 30 days.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be error-free, uninterrupted, or that AI responses will be accurate.

13. Limitation of Liability

To the maximum extent permitted by law, LHBOT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the service.

Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 3 months prior to the claim.

13.5 Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of the affected party, including but not limited to: natural disasters, acts of war or terrorism, pandemics, government actions, internet or telecommunications failures, power outages, WhatsApp/Meta platform outages or policy changes, and third-party service provider failures. The affected party shall make reasonable efforts to mitigate the impact and resume performance as soon as practicable.

13.6 Indemnification

You agree to indemnify, defend, and hold harmless LHBOT, LHDIRECT LTD, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service or any activity under your account
• Your violation of these Terms of Service
• Your violation of any third-party rights, including WhatsApp's Terms of Service
• Any content or data you process through the Service, including your customers' data
• Any messages sent through your bot, including via the Outbound API or auto follow-ups

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Tel Aviv-Jaffa, Israel. Both parties agree to submit to the personal jurisdiction of such courts.

15. Changes to Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the service after changes constitutes acceptance.

15.5 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

15.6 Entire Agreement

These Terms of Service, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and LHDIRECT LTD regarding your use of the LHBOT platform. These Terms supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter herein.

15.7 No Waiver

The failure of LHBOT or LHDIRECT LTD to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by LHDIRECT LTD.

15.8 Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of LHDIRECT LTD. LHDIRECT LTD may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets without your consent. Any attempted assignment in violation of this section shall be void.

'WhatsApp' and 'Meta' are registered trademarks of Meta Platforms, Inc. 'Google' and 'Gemini' are trademarks of Google LLC. LHBOT is an independent product and is not affiliated with, endorsed by, sponsored by, or officially connected to Meta Platforms, Inc., WhatsApp Inc., or Google LLC. All trademarks referenced herein belong to their respective owners.
